Terms of Service

These Customer Terms of Service (“Agreement”) are entered into by and between Lyse Labs, SAS, a French société par actions simplifiée, having its registered office at 60 Rue François Ier, 75008 Paris, France (“Lyse”), and the entity or individual accessing or using the Services (“Customer”, “you”).

If you access or use the Services on behalf of an organization, you represent and warrant that you have the authority to bind such entity to this Agreement. In that case, all references to “Customer” or “you” refer to that entity.

This Agreement governs your access to and use of Lyse’s online software, integrations, and related services (collectively, the “Services”).


Definitions


Affiliate

Any entity that directly or indirectly controls, is controlled by, or is under common control with a party.


Agreement

These Terms of Service, together with any Order Form and all documents referenced herein.


Customer Data

All data, content, or information uploaded, transmitted, connected, or synchronized through the Services by or on behalf of the Customer, including data originating from Third-Party Integrations such as Figma, GitHub, Linear, Jira, GitLab, or Slack.


Documentation

The technical and functional documentation made available by Lyse at getlyse.com/docs.


Free Services

Any Services or features provided at no charge, including beta access or trial features.


Paid Services

Subscription-based Services purchased by Customer, as described on getlyse.com/pricing or an applicable Order Form.


Third-Party Integrations

Third-party tools, platforms, or APIs connected to the Services by the Customer, including design, development, project management, or communication tools (e.g., Figma, GitHub, Linear, Jira, GitLab, Slack).


Usage Data

Aggregated and anonymized technical or diagnostic data relating to the use and performance of the Services.


User(s)

Employees, contractors, or agents authorized by the Customer to access and use the Services.


The services


Scope of Services

The Services enable Customers to connect authorized Third-Party Integrations and to generate, structure, and synchronize tasks or actions based on data originating from such tools, in accordance with the permissions and configurations defined by the Customer.


Access Rights

Subject to this Agreement and, where applicable, payment of Fees, Lyse grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during the applicable subscription term for internal business purposes.


Beta and Experimental Features

Lyse may make certain features available as beta, preview, or experimental features. Such features are provided “as is”, may be modified or discontinued at any time, and are excluded from any service level commitments.


Ownership and Intellectual Property

Lyse retains all right, title, and interest in and to the Services, including all related software, infrastructure, documentation, and intellectual property rights.

No rights are granted to Customer except as expressly stated in this Agreement.


Customer Data


Ownership

Customer retains all rights, title, and interest in and to Customer Data. Lyse does not claim ownership over Customer Data.


Authorization

Customer grants Lyse a limited, worldwide, royalty-free license to process Customer Data solely as necessary to provide, operate, maintain, and improve the Services, including synchronization, automation, and technical support.


 Data Protection and Privacy

Lyse processes Customer Data in accordance with its Privacy Policy.

Lyse acts as a data processor with respect to Customer Data originating from Third-Party Integrations and as a data controller only with respect to account-level, billing, and administrative information.

Customer is solely responsible for:

  • determining which Third-Party Integrations are connected to the Services,

  • ensuring it has all necessary rights, permissions, and lawful bases to provide Customer Data to Lyse,

  • informing Users and any other relevant data subjects of such processing, as required by applicable data protection laws.


Integrations

By connecting Third-Party Integrations, Customer authorizes Lyse to access and process Customer Data and limited metadata strictly as necessary to provide the requested integration functionality.

The scope of data processed depends on the permissions granted by the Customer within the relevant Third-Party Integration.

Authentication credentials and API tokens are stored only locally in the Customer’s browser environment and are not stored on Lyse’s servers.


Aggregated and Anonymized Data

Lyse may use Usage Data and other aggregated or anonymized data to operate, improve, and analyze the performance of the Services. Such data will not identify Customer or Users.


Acceptable Use

Customer agrees not to:

  • copy, modify, or reverse-engineer the Services,

  • use the Services to process unlawful or prohibited data,

  • circumvent security or access controls,

  • use the Services in violation of applicable laws or third-party terms (including those of connected integrations),

  • interfere with or disrupt the integrity or performance of the Services.

Lyse may suspend or restrict access if Customer’s use poses a security, legal, or operational risk.


Fees, Billing, and Taxes


Fees

Fees are based on the selected subscription plan or Order Form and are payable in advance unless otherwise specified.


Payments

Payments are processed through Lyse’s payment provider (currently Stripe). Lyse does not store full payment card details.


Taxes

Fees are exclusive of applicable taxes, including VAT. Customer is responsible for all applicable taxes.


Non-Payment

Failure to pay Fees when due may result in suspension or termination of access to the Services.


Warranties and Disclaimers

Each party represents that it has the legal authority to enter into this Agreement.

Except as expressly stated, the Services are provided “as is” and “as available”. Lyse disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.


Term and Termination

This Agreement remains in effect until terminated.

Either party may terminate this Agreement for material breach if such breach is not cured within thirty (30) days of written notice.

Upon termination:

  • Customer’s access to the Services will cease,

  • Customer may request deletion of Customer Data in accordance with the Privacy Policy,

  • Lyse may retain limited residual data as required for legal or compliance purposes.


Indemnification

Customer agrees to indemnify and hold harmless Lyse from any claims arising from:

  • Customer’s use of the Services in violation of this Agreement or applicable law,

  • Customer Data, including data originating from Third-Party Integrations,

  • Customer’s failure to obtain required rights or consents.


Limitation of Liability

To the maximum extent permitted by law, Lyse shall not be liable for indirect, incidental, or consequential damages.

Lyse’s total liability under this Agreement shall not exceed the total Fees paid by Customer in the twelve (12) months preceding the claim.


General Provisions

Independent Contractors. The parties are independent contractors.
Force Majeure. Neither party is liable for delays due to events beyond reasonable control.
Assignment. This Agreement may not be assigned without prior written consent, except in connection with a merger or acquisition.
Governing Law. This Agreement is governed by French law.
Jurisdiction. Exclusive jurisdiction is vested in the courts of Paris, France.
Entire Agreement. This Agreement constitutes the entire agreement between the parties.
