Terms of Service

This Customer Terms of Service (“Agreement”) is entered into by and between Lyse Labs, SAS, a French société par actions simplifiée (“Lyse”), and the entity or individual accessing or using the Lyse products and services (“Customer”, “you”).


If you access or use the Services on behalf of an organization, you represent that you have authority to bind that entity to this Agreement. All references to “you” or “Customer” shall refer to that entity.


This Agreement governs your access to and use of Lyse’s online services, integrations, and related software (collectively, the “Services”).


Definitions

Affiliate — any entity that controls, is controlled by, or under common control with a party.

Agreement — this Terms of Service, any Order Forms, and all referenced documents.

Customer Data — all data uploaded, connected, or synchronized through the Services (e.g., from Figma, GitHub, Jira, GitLab, Linear, Slack).

Documentation — guides and technical documentation made available at getlyse.com/docs

Free Services — Lyse products or features provided free of charge (e.g., Beta access, limited credits).

Paid Services — subscription-based tiers, as described on getlyse.com/pricing

Third-Party Integrations — tools or APIs connected to Lyse by the Customer (e.g., Figma, GitHub, Linear).

Order Form — the purchase confirmation, registration page, or online checkout referencing this Agreement.

Usage Data — aggregated technical and diagnostic information from the use of Lyse’s platform.

User(s) — authorized employees, contractors, or agents of the Customer with access to the Services.


The Services

Access Rights

Subject to this Agreement, Lyse grants you a limited, non-exclusive, non-transferable license to access and use the Services during your subscription term for internal business purposes.


Beta and Experimental Features

Lyse may release certain features marked as “Beta”, “Preview”, or “Experimental”. These features are provided “as is”, without warranty, and may be modified or discontinued at any time.


Ownership

All rights in and to the Services, software, infrastructure, and related materials remain the exclusive property of Lyse Labs, SAS. No rights are granted except as explicitly stated in this Agreement.


Customer Data


Ownership

Customer retains all rights and title to its Customer Data. Lyse does not claim ownership over Customer Data.


Authorization

Customer grants Lyse a limited, worldwide, royalty-free license to use Customer Data solely to operate, maintain, and improve the Services, including synchronization, automation, and technical support.


Processing and Privacy

Lyse processes Customer Data in accordance with its Privacy Policy

Lyse acts as data processor when handling workspace content and data controller for account-level information.

All data processing complies with GDPR, CCPA, and other applicable privacy laws.


Integrations

By connecting Third-Party Integrations (Figma, GitHub, etc.), Customer authorizes Lyse to exchange limited metadata necessary for synchronization.

API tokens are stored only locally in the Customer’s browser, not on Lyse’s servers.


Aggregate and Anonymized Data

Lyse may use aggregated and de-identified data to improve its Services and performance analytics. This data will never identify Customer or its Users.


Acceptable Use and Restrictions

Customer agrees not to:

  • Copy, reverse-engineer, or modify the Services;

  • Use Lyse to process unlawful or sensitive personal data;

  • Circumvent authentication or access controls;

  • Use the Services in violation of any law or third-party policy;

  • Attempt to exploit or disrupt Lyse’s infrastructure.

Lyse may suspend access if Customer’s use threatens the security or integrity of the Services.


Fees, Billing, and Taxes


Subscription Plans

Fees are based on the plan selected via the pricing page or Order Form. Subscriptions automatically renew unless canceled before the renewal date.


Payments

Payments are processed via Stripe. Lyse does not store payment card details.

All fees are due upon invoice and are non-refundable, except as required by law.


Taxes

Prices exclude applicable taxes (e.g., VAT). Customer is responsible for all such taxes.


Suspension

Failure to pay may result in suspension or termination of access until payment is received.


Confidentiality

Each party agrees to protect the other’s confidential information with the same care it uses for its own, and to use such information only for purposes related to this Agreement.

Confidential information does not include publicly available data or information independently developed without breach.


Warranties and Disclaimers


Mutual Warranty

Each party warrants that it has full legal authority to enter into this Agreement.


Disclaimer

Except as expressly stated, the Services are provided “as is” without warranties of any kind.

Lyse disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.


Term and Termination


Term

This Agreement remains effective until all subscriptions or accounts are terminated.


Termination by Either Party

Either party may terminate if the other materially breaches this Agreement and fails to cure within 30 days of notice.


Effect of Termination

Upon termination:

  • Customer’s access ceases immediately.

  • Customer may request deletion of all data via privacy@getlyse.com.

  • Certain metadata may remain in secure backups for legal or operational reasons.


Indemnification


By Lyse

Lyse will defend and indemnify Customer against any claim alleging that the Services infringe a valid intellectual property right, provided Customer promptly notifies Lyse in writing.


By Customer

Customer agrees to indemnify Lyse for claims arising from:

  • Customer’s misuse of the Services;

  • Violation of this Agreement;

  • Or infringement resulting from Customer Data or third-party integrations.


Limitation of Liability

To the fullest extent permitted by law, Lyse and its affiliates shall not be liable for:

  • Indirect, incidental, or consequential damages;

  • Data loss, loss of profits, or business interruption.


Lyse’s total liability shall not exceed the total amount paid by Customer in the preceding 12 months.


General Provisions


Independent Contractors

The parties are independent contractors; no joint venture or partnership is created.



Governing Law and Jurisdiction

This Agreement is governed by French law.

Disputes shall be resolved exclusively by the courts of Paris, France.


Force Majeure

Neither party shall be liable for failure to perform due to causes beyond reasonable control (including network outages or legal restrictions).


Assignment

Neither party may assign this Agreement without prior written consent, except to a successor by merger or acquisition.


Notices

All notices must be in writing and sent to contact@getlyse.com or to the address specified by the other party.


Entire Agreement

This Agreement, including referenced policies, constitutes the entire agreement between the parties and supersedes prior discussions.
